This website and the associated programmes, advisory services, and training (collectively, the "Services") are operated by Bernardine Ltd ("we", "us", "our"), a company registered in England and Wales, with its principal place of business in Cheltenham, Gloucestershire, United Kingdom. References to the "Programme" mean any structured cohort, mentorship, discipline, or systems programme delivered by us, including those delivered as a pilot in partnership with a local authority or council.
2. Acceptance of Terms
By accessing this website, enrolling in a Programme, or otherwise using our Services, you confirm that you have read, understood, and agree to these Terms. If you are entering into these Terms on behalf of a participant under the age of 18, you confirm you are their parent or legal guardian and that you accept these Terms on their behalf.
3. Eligibility
- Adult participants must be aged 18 or over.
- Participants under 18 may only enrol with the written consent of a parent or legal guardian and, where applicable, a referring organisation or council.
- We reserve the right to verify eligibility and to decline or withdraw enrolment at our discretion.
4. Services and Programme Delivery
We provide strategic advisory services and structured Programmes designed around discipline, systems, and execution. The specific scope, schedule, deliverables, and duration of any Programme are set out in the applicable enrolment documentation or Participant Agreement. We may, acting reasonably, vary content, timings, or delivery format to improve outcomes or to comply with safeguarding or legal obligations.
5. Fees and Payment
- Fees are as quoted at the point of enrolment and are stated in pounds sterling (GBP) unless otherwise agreed in writing.
- Where a Programme is delivered free of charge under a council or government pilot, no participant fee applies, but all other Terms continue to apply.
- Unless stated otherwise, fees are payable in advance. Late or failed payment may result in suspension of access.
6. Cancellation and Refunds
Where you are a consumer, you have a statutory right to cancel within 14 days of entering into a contract under the Consumer Contracts Regulations 2013, unless you have expressly requested that the Services begin within that period and they have been fully performed. Programme-specific cancellation and refund terms are set out in the Participant Agreement and prevail over this general clause where they conflict.
7. Participant Conduct
Participation is conditional on compliance with our Community Rules, Daily SOP Manual, and Digital Discipline SOP. We may suspend or remove any participant whose conduct is unlawful, abusive, or materially disruptive to others.
8. Intellectual Property
All materials, frameworks, methods (including "The Malhotra Method"), curricula, templates, and content provided through the Services are owned by or licensed to Bernardine Ltd and are protected by intellectual property law. You are granted a limited, non-transferable, revocable licence to use them solely for your own participation. Commercial use, resale, or redistribution is prohibited except under a written Licensing Agreement.

10. Limitation of Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded by law. Subject to that, our total aggregate liability arising out of or in connection with the Services shall not exceed the total fees paid by you (or on your behalf) in the 12 months preceding the event giving rise to the claim. We are not liable for indirect or consequential loss.

12. Governing Law
