This Agreement sets out the terms on which a trainer or coach is engaged by Bernardine Ltd to deliver the Programme, including their safeguarding and conduct obligations.
1. Engagement
This Agreement is between Bernardine Ltd ("the Company") and the individual engaged as a trainer or coach ("the Coach"). The Coach is engaged to deliver the Programme in accordance with the Company's methods, standards, and policies.
2. Eligibility and Vetting
- The Coach must hold an enhanced DBS check (with barred-list check where working with under-18s) before any unsupervised contact with participants.
- References and relevant qualifications must be verified.
- The Coach must complete safeguarding training before delivery and refresh it as required.
3. Duties
- Deliver the Programme to the Company's standards and curriculum.
- Uphold the Safeguarding Policy at all times and report concerns to the Designated Safeguarding Lead without delay.
- Follow the Daily SOP Manual, Community Rules, and all other policies.
- Maintain accurate tracking records.
4. Professional Conduct
- Maintain professional boundaries with all participants; never pursue personal, financial, or romantic relationships with participants.
- Never be alone in an unobserved one-to-one setting with an under-18; use approved, monitored channels for all communication.
- Model the discipline and respect expected of participants.
5. Confidentiality and IP
The Coach must keep all materials and participant information confidential under the NDA / Confidentiality Agreement. All content created in the course of engagement belongs to the Company.
6. Status, Fees, and Insurance
The Coach's engagement status (employee or contractor), fees, and payment terms are set out in the accompanying schedule. The Coach must hold appropriate professional indemnity and public liability insurance where engaged as a contractor.
7. Termination
The Company may terminate immediately for safeguarding breaches, gross misconduct, loss of DBS clearance, or conduct that damages the Company's reputation.
8. Governing Law
This Agreement is governed by the laws of England and Wales.
